Terms of Service

These Terms of Service ("Terms") govern your access to and use of VaultMKT's website, marketplace, checkout, seller tools, subscriptions, shipping tools, messaging, evidence, return, dispute, notification, and account services (collectively, the "Service"). The Service is operated by VaultMKT LLC ("VaultMKT," "we," "us," or "our").

By accessing the Service, creating an account, browsing listings, saving a draft, listing an item, making or accepting an offer, buying an item, subscribing to Pro, uploading evidence, purchasing a label, requesting a return, opening a dispute, or otherwise using VaultMKT, you agree to these Terms and our Privacy Policy.

If you use VaultMKT on behalf of a business, you represent that you have authority to bind that business. If you do not agree to these Terms, do not use the Service.

You must be at least 18 years old and able to form a binding contract to use VaultMKT. You must provide accurate account, profile, billing, shipping, identity, payout, and tax-related information and keep it current.

You are responsible for all activity under your account. Do not share account credentials, create misleading accounts, use another person's account, evade a suspension or verification decision, or attempt to access another user's orders, listings, drafts, messages, returns, disputes, addresses, payout information, or account data.

VaultMKT may require email verification, password reset verification, Stripe Connect onboarding, Stripe Identity verification, payment confirmation, additional fraud review, or other checks before you can use buyer, seller, fulfillment, payout, subscription, or admin-facing features.

VaultMKT is an online marketplace for trading cards and related collectibles. Unless we expressly state otherwise, VaultMKT is not the seller, buyer, owner, consignor, broker, authenticator, grader, insurer, or carrier of user-listed items and does not take title to those items.

Buyers and sellers contract with each other. VaultMKT provides marketplace software, listing tools, checkout, payment coordination, seller verification tooling, shipping label tooling, tracking display, notifications, evidence capture, return workflows, dispute review, moderation, and administrative controls.

VaultMKT may intervene in transactions to enforce these Terms, protect users, manage fraud or risk, comply with law or payment processor rules, resolve disputes, process refunds, hold or release funds, remove content, deactivate listings, suspend accounts, or correct platform errors.

VaultMKT does not provide legal, tax, financial, investment, appraisal, grading, authentication, insurance, shipping-carrier, or customs advice. Marketplace data, pricing references, verification badges, trust signals, and dispute tools are operational aids only and do not replace your own diligence or professional advice.

Buyers must review listing photos, description, condition, quantity, shipping terms, seller return policy, fees, taxes, and the final order summary before paying. By confirming payment, you authorize the purchase price, shipping amount, applicable taxes, and buyer-facing fees shown at checkout.

Buyers must provide a deliverable Shipping To address, recipient name, email address, and phone number when required for checkout, tax calculation, carrier validation, label creation, delivery, fraud prevention, or support. You may edit an order delivery address only before the seller purchases or creates the shipping label and only if the order state allows it.

Buyers may not buy their own listings, use false payment or shipping information, abuse returns, file false disputes, misuse chargebacks, manipulate checkout or payment states, harass sellers, or attempt to obtain items without valid payment.

Sellers must complete the seller onboarding steps required by VaultMKT. Seller tools may require server-confirmed Stripe Identity verification and Stripe Connect payout setup. Verification status is determined from the applicable verification provider and VaultMKT's account records.

Sellers are responsible for every listing they publish, including title, description, category, item type, game or sport, product details, condition, grade, certification number, quantity, price per item, images, return setting, package weight and dimensions, shipping service level, and all defects or material limitations.

Sellers must own or be authorized to sell listed items, must not list counterfeit, stolen, altered, misleading, unsafe, prohibited, or infringing goods, and must ship only the item actually purchased. Sellers must maintain a valid Shipping From address when using VaultMKT label creation.

Sellers must use VaultMKT's required in-app packaging evidence flow when the order workflow requires it. External video uploads do not replace the required live in-app packaging recording unless VaultMKT expressly permits an exception in writing.

Draft listings are private seller work-in-progress records. Drafts are not public marketplace listings, do not create an offer to sell, and are not purchasable until the seller completes required fields and publishes the listing as active.

Listing prices are per item unless the listing clearly states otherwise. If a seller lists multiple units, buyers may choose a quantity up to the available inventory, and the order subtotal is based on unit price multiplied by purchased quantity.

Offers are binding only when accepted through VaultMKT's offer flow and paid through VaultMKT checkout. An accepted offer may reserve the offer opportunity for the accepted buyer under platform rules, but inventory is not treated as finally sold until payment succeeds and VaultMKT finalizes the order.

VaultMKT may use product lookup, catalog, grading, market data, pricing-reference, or sold-comps providers to help sellers create listings. Suggested data is informational only. Sellers remain responsible for checking accuracy before publishing.

Adding an item to a cart, starting checkout, entering shipping information, or creating an unpaid payment attempt does not reserve inventory, create a completed order, or make a listing unavailable. Multiple buyers may place the same available listing in their carts.

VaultMKT currently uses in-app Stripe Payment Elements and PaymentIntents for marketplace item checkout. A real order enters the paid order lifecycle only after payment succeeds and VaultMKT confirms the payment through server-side payment state synchronization or Stripe webhook processing.

For multi-item or multi-seller cart checkout, VaultMKT may collect one buyer payment and create seller-specific order records internally. Each seller sees only that seller's items and fulfillment information. The buyer may see the combined checkout grouped by seller or order line.

Inventory is reduced only after payment success. If inventory is unavailable by the time payment succeeds, VaultMKT may cancel or refund the affected payment or order according to processor capabilities and platform risk controls.

Buyers pay the item subtotal, shipping where applicable, taxes where applicable, and any buyer-facing fees displayed at checkout. The buyer-facing processing/service fee is labeled the Buyer Protection Fee. It is a platform fee retained by VaultMKT and is not shipping insurance, product insurance, a warranty, a guarantee of recovery, or a substitute for payment-card rights.

Rookie sellers pay an 8% seller marketplace fee on the item subtotal. Pro sellers pay a 0% seller marketplace fee while their Pro status is active. Seller tier, seller fee rate, buyer-facing fee, seller payout amount, dispute timing, and other order financial snapshots are captured at purchase time and do not retroactively change because a seller later upgrades, downgrades, cancels, or renews a subscription.

VaultMKT may calculate taxes using Stripe Tax or another tax provider based on buyer location, seller or ship-from location, product type, tax settings, and applicable marketplace facilitator rules. Taxes are tracked separately from seller revenue and seller payout. VaultMKT and sellers remain responsible for their own tax obligations, filings, exemptions, and records as required by law.

VaultMKT may collect, report, remit, withhold, or display taxes where configured or required, but we do not guarantee any user's tax treatment. Sellers are responsible for confirming their own income, sales, use, marketplace, business-registration, resale, exemption, and information-reporting obligations.

Pro subscriptions are billed through Stripe Checkout or Stripe Billing unless VaultMKT changes the billing flow. Pro is currently priced at $49 per month unless the checkout page states otherwise. Subscription checkout may collect billing address and tax information. Subscriptions renew until canceled, and cancellation generally leaves Pro benefits active until the end of the paid billing period.

Before you enroll in Pro, VaultMKT or Stripe will present the recurring price, billing interval, trial or promotional terms where applicable, renewal timing, and cancellation path. You can cancel Pro through the seller billing area when available or by contacting support, and VaultMKT may preserve records of subscription consent, invoices, cancellations, failed payments, and account notices for billing compliance.

VaultMKT uses a payment hold and release workflow for marketplace risk management. This workflow is not a bank account, stored-value account, trust account, or licensed escrow service. Funds movement is handled through Stripe and VaultMKT's internal order, payment, dispute, and payout records.

Seller payout is calculated from the seller's entitled order amount, not from the full buyer total. Seller payout excludes sales tax, the Buyer Protection Fee, VaultMKT seller marketplace fees, and other amounts that are not seller revenue. Seller-paid label costs or refund amounts may reduce seller net proceeds where applicable.

For Rookie sellers, funds generally become eligible for release after the 72-hour post-delivery dispute window closes. For Pro sellers, funds generally become eligible for release after the 48-hour post-delivery dispute window closes. Payout may be delayed by active disputes, returns, refund reviews, chargebacks, fraud checks, payment processor review, missing payout setup, account restrictions, carrier exceptions, legal requirements, or operational risk.

If a dispute is open or under review, funds remain held even if the ordinary release window would otherwise have closed. VaultMKT may release, refund, split, or continue holding funds based on platform rules, admin review, payment processor status, and applicable law.

Sellers must ship orders using the shipping workflow required for the order. VaultMKT label creation uses the seller's saved Shipping From address as the origin and the buyer's order Shipping To address as the destination. If the seller has no valid Shipping From address, label creation may be blocked.

The buyer may edit the delivery address only before label creation and only while the order is in an editable status. Once a label is purchased or created, the order delivery address is locked to preserve tracking, label, fraud, and dispute integrity. Address changes may be logged and may trigger seller notifications.

Sellers choose label add-ons such as shipping insurance or signature confirmation during the label purchase flow, not at listing creation. Availability and pricing of add-ons depend on carrier, service, package, destination, and provider response. Buyer-facing notices about insurance or signature are based on the purchased label data, not old listing preferences.

Sellers must have a reasonable basis for any stated handling time or shipment timing. If an order cannot ship within the represented handling time, or within the legally required default shipment period when no clear shipment time is stated, VaultMKT may require buyer notice, buyer consent to a delay, cancellation, refund, seller enforcement, or other action required by law or platform policy.

Carrier tracking updates may automatically move an order from label created to shipped, delivered, or another tracking status. Manual seller shipment controls and buyer delivery confirmation may remain available as fallbacks, but they must not conflict with carrier webhook updates or packaging evidence requirements.

VaultMKT is not responsible for carrier delays, lost packages, incorrect scans, customs issues, unsafe delivery locations, address errors supplied by users, or events after carrier handoff, except to the extent VaultMKT chooses or is required to assist under its dispute, return, refund, or payment policies.

Sellers choose whether they accept normal buyer returns on each listing. The seller's return policy is shown before purchase, and the return setting captured at purchase controls normal return eligibility for that order. Later listing edits do not change return eligibility for existing orders.

If the seller accepts returns for an order, the buyer may request a normal return after delivery during the applicable return window, which is currently 7 days unless VaultMKT configures another window. The seller decides whether to accept or reject normal return requests. VaultMKT admin review is separate from normal seller-decided returns.

If a seller accepts a return, the buyer dispute window for that order may close, and the buyer may be directed into the buyer-side return flow. Buyer-paid return labels may be available only after a return is accepted, and only to the buyer who owns that return.

Sellers may cancel and refund a paid order before shipment where VaultMKT permits, such as if the item was sold elsewhere, damaged, unavailable, or listed incorrectly. Seller cancellation may refund the buyer, mark the order as seller-canceled or refunded, prevent seller payout, and update listing or inventory state according to platform logic.

Abandoned checkout attempts, failed payments, and unpaid payment attempts are not real completed orders and should not appear as ordinary canceled buyer orders. VaultMKT may retain limited payment attempt records for fraud, reconciliation, and support.

Buyers may open eligible disputes only after an order has been marked shipped and within the applicable post-delivery dispute window. Eligible dispute types may include item not received, item not as described, damage, fraud, or other reasons supported by the Service.

A buyer cannot open a new dispute after the applicable dispute window closes, while an accepted return has closed the dispute window, or when another active dispute already exists for the same order. VaultMKT may restrict dispute evidence, attachments, file type, file size, number of files, and timing.

VaultMKT may review listing content, order records, payment records, tracking events, packaging videos, dispute evidence, messages, photos, video, return records, address changes, account history, and other available information. Admin outcomes may include refunding the buyer, releasing funds to the seller, splitting the outcome, maintaining a hold, suspending an account, or taking other platform action.

Sellers must record required packaging evidence using VaultMKT's in-app recorder. Dispute evidence and packaging evidence are stored under app-controlled upload paths, and short-lived access URLs may be generated only for authorized buyers, sellers, admins, and service providers.

Chargebacks, payment disputes, payment reversals, fraudulent claims, and payment processor reviews may override or affect platform dispute outcomes. You agree to cooperate with VaultMKT and its processors in responding to chargebacks and fraud reviews.

You retain ownership of listing photos, descriptions, messages, reviews, profile content, packaging videos, dispute evidence, and other materials you provide ("User Content"), subject to the license you grant below.

You grant VaultMKT a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, display, perform, transmit, adapt, analyze, moderate, remove, and otherwise use User Content as needed to operate, secure, support, enforce, market, and improve the Service; process orders, returns, disputes, and evidence; display listings and seller profiles; and comply with law.

You represent that you have all rights needed to provide your User Content and that it does not infringe, misappropriate, defame, harass, threaten, or violate the rights of any person. VaultMKT may remove or restrict User Content at any time.

VaultMKT's name, logo, software, design, compilation, workflows, text, graphics, and brand assets are owned by VaultMKT or its licensors. Third-party game, grading, card, league, team, character, manufacturer, marketplace, and provider names belong to their respective owners and are used only for identification where applicable.

Copyright owners may send infringement notices to copyright@vaultmkt.com. A notice should identify the copyrighted work, the allegedly infringing material, contact information, a good-faith statement, an accuracy and authority statement under penalty of perjury, and a physical or electronic signature. VaultMKT may remove content and terminate repeat infringers where appropriate.

Reviews, ratings, seller feedback, testimonials, referrals, endorsements, and marketplace messages must reflect genuine user experiences and must not be deceptive. Users may not post or arrange fake reviews, undisclosed paid or incentivized reviews, reviews by people who did not use the Service, reviews of their own listings, competitor sabotage, shill activity, coordinated review rings, or threats to manipulate feedback.

Any material connection, incentive, discount, refund, sponsorship, employment relationship, family relationship, affiliate relationship, or other benefit connected to a review or endorsement must be clearly disclosed where the statement appears. VaultMKT may remove, restrict, label, or investigate reviews and endorsements that appear fraudulent, irrelevant, abusive, unlawful, undisclosed, or manipulative, but we do not promise to remove truthful negative feedback.

Sellers may not condition support, refunds, replacements, shipping help, dispute cooperation, off-platform benefits, or future access on a buyer changing or deleting a truthful review. Buyers may not threaten false reviews or chargebacks to obtain benefits they are not entitled to receive.

You may not use VaultMKT for:

• Counterfeit, stolen, altered, trimmed, rebacked, resealed, fraudulently graded, infringing, unsafe, illegal, sanctioned, embargoed, recalled, regulated, or prohibited items.
• Items outside VaultMKT's supported trading-card and related-collectibles scope, including weapons, drugs, alcohol, tobacco, adult content, animals, hazardous materials, medical products, financial instruments, securities, gift cards, stored-value products, cash equivalents, cryptocurrency, NFTs, digital-only assets, lottery entries, raffles, gambling products, or items requiring licenses VaultMKT does not support.
• Misleading listings, inaccurate condition claims, manipulated images, false grades, false certification numbers, undisclosed defects, bait-and-switch listings, or quantity misrepresentation.
• Off-platform fee avoidance, payment circumvention, transaction steering, or attempts to move orders, returns, shipping, or disputes outside VaultMKT after contact through the Service.
• False disputes, false returns, chargeback abuse, refund abuse, evidence tampering, forged tracking, fake labels, account manipulation, collusive buying or selling, shill activity, review manipulation, or self-dealing.
• Unauthorized scraping, bots, credential stuffing, security probing, reverse engineering, interference with checkout, API misuse, malware, spam, harassment, threats, hate content, or privacy violations.
• Uploading external or unsafe evidence, executable files, malicious files, private data you are not allowed to share, or content that violates another person's rights.

VaultMKT may warn, restrict, suspend, terminate, deactivate, demote, remove, hide, refund, cancel, hold, reverse, investigate, or otherwise act against accounts, listings, orders, payments, returns, disputes, evidence, messages, reviews, subscriptions, seller tools, and payout access when we believe it is necessary to protect the Service, users, payment processors, carriers, or legal compliance.

Enforcement may be based on automated systems, staff review, payment processor signals, carrier data, admin review, user reports, law enforcement requests, or suspected violations. VaultMKT may retain records after suspension or deletion where needed for orders, fraud prevention, tax, accounting, dispute, legal, security, or compliance purposes.

Account deletion may be unavailable while orders are in progress. When deletion is available, VaultMKT may anonymize account credentials and retain transaction, order, payment, evidence, dispute, and compliance records as needed to preserve marketplace integrity and comply with law.

The Service uses third-party providers for payments, tax calculation, subscriptions, seller onboarding, identity verification, shipping labels, address validation, tracking, email, cloud hosting, storage, error monitoring, search, product lookup, market data, and similar functions. Providers may include Stripe, Shippo, Amazon Web Services, Sentry, Algolia, Supabase, email providers, Pokemon TCG API, TCGplayer, eBay, PSA, and others depending on configuration.

Your use of third-party services may be subject to their terms, policies, risk reviews, fees, supported regions, account requirements, technical limits, and compliance requirements. VaultMKT is not responsible for third-party outages, declines, account restrictions, identity decisions, tax settings, carrier errors, or provider policy changes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTMKT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, AND COURSE OF DEALING.

VAULTMKT DOES NOT GUARANTEE THE AUTHENTICITY, GRADE, CONDITION, VALUE, LIQUIDITY, MARKET PRICE, INVESTMENT PERFORMANCE, LEGALITY, SAFETY, DELIVERY, OR FITNESS OF USER-LISTED ITEMS. COLLECTIBLE PRICES CAN CHANGE QUICKLY, AND USERS ASSUME THE RISK OF BUYING AND SELLING COLLECTIBLES.

VaultMKT does not guarantee uninterrupted access, error-free operation, perfect fraud detection, successful seller verification, successful payout, successful label purchase, successful tax calculation, carrier delivery, or a particular dispute outcome.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTMKT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, MARKET LOSSES, CHARGEBACK LOSSES, OR SUBSTITUTE GOODS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULTMKT'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DIRECTLY TO VAULTMKT IN PLATFORM FEES OR SUBSCRIPTION FEES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS CAP DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED BY LAW.

You will defend, indemnify, and hold VaultMKT harmless from claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from your listings, purchases, sales, shipments, taxes, User Content, disputes, chargebacks, fraud, violation of law, violation of these Terms, or infringement of another person's rights.

These Terms and any dispute with VaultMKT are governed by the laws of the State of Delaware and applicable federal law, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs the arbitration agreement in this section.

Before filing a formal claim, you agree to contact legal@vaultmkt.com and attempt to resolve the issue informally for at least 30 days. Order-specific issues must first use the return, cancellation, dispute, or support workflows available in the Service where applicable.

Except for claims that qualify for small claims court, claims seeking only injunctive relief for intellectual property misuse, or claims that cannot be arbitrated by law, you and VaultMKT agree to resolve disputes by binding individual arbitration administered by the American Arbitration Association under its applicable consumer or commercial arbitration rules.

YOU AND VAULTMKT WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE ACTION. CLAIMS MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.

You may opt out of this arbitration agreement by emailing legal@vaultmkt.com within 30 days after you first accept these Terms. Your opt-out must include your account email and a clear statement that you opt out of arbitration.

VaultMKT may update these Terms from time to time. Material changes will be posted in the Service or sent by email where appropriate. Continued use of the Service after the effective date of updated Terms means you accept the updated Terms.

We may send legal, transactional, account, order, return, dispute, subscription, shipping, security, and policy notices by email, in-app notification, dashboard notice, or other reasonable means.
